Article I. Name

The name of the limited liability company is: IRL Cooperative DAO LLC

Article II. Status as Decentralized Autonomous Organization

This organization is a member-managed decentralized autonomous organization ("DAO") formed pursuant to the Wyoming Limited Liability Company Act and the Wyoming Decentralized Autonomous Organization Supplement (W.S. § 17-31-101 et seq.).

The Company shall be governed in whole or in part by one or more smart contracts deployed on public blockchain networks, as identified in Article VII below, and by the Operating Agreement approved by its members.

Article V. Purpose

The purpose of the Company is to engage in any lawful act or activity for which limited liability companies may be organized under the Wyoming Limited Liability Company Act, including:

• Designing, developing, operating, and stewarding digital infrastructure and platforms that enable cooperation, mutual aid, collective governance, and community coordination.
• Providing member-owned tools for decentralized identity, event coordination, project collaboration, and shared resource management.
• Operating in accordance with cooperative principles including voluntary and open membership, democratic member control, and member economic participation.

Article VI. Management Structure

The Company is a member-managed DAO. Management authority is distributed among members pursuant to the Operating Agreement and the smart contracts identified in Article VII.

No single natural person shall exercise unilateral "substantial control" over the Company. All major decisions require multi-party approval through mechanisms defined in the Operating Agreement and governing smart contracts.

The Company employs a Core Control Triumvirate governance model requiring distributed approval for major actions:

• Technical Steward - Deploys and maintains smart contract infrastructure
• Governance Steward - Manages membership processes and elections
• Economic Steward - Coordinates treasury operations

No single steward holds unilateral authority. Major decisions require multisignature approval as defined in the smart contracts and Operating Agreement.
